1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Codrix ("we," "us," or "our"), concerning your access to and use of the codrix.agency website as well as any related web applications, services, or design projects we undertake for you.

2. Project Scope and Deliverables

All design and development projects will be clearly defined in a formal Statement of Work (SOW) or invoice provided to you prior to project commencement. Any requests falling outside the defined SOW will be subject to additional fees. We reserve the right to decline scope changes if they conflict with scheduling constraints.

3. Payment Terms and Refunds

  • Deposits: A non-refundable deposit (typically 50%) is required before any design or development work begins.
  • Milestones: Remaining balances are tied to project milestones as defined in your SOW.
  • Refund Policy: Because of the custom nature of web design and development, we do not offer refunds once work has commenced. If a project is cancelled by the client before completion, the client remains liable for any work completed up to the date of cancellation.

4. Intellectual Property Rights

Unless otherwise indicated, the Site and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") are owned or controlled by us. Upon final payment for a custom project, intellectual property rights for the final deliverables are transferred to the client, excluding any proprietary frameworks or open-source libraries used.

5. Client Responsibilities

You agree to provide us with everything we need to complete the project, including text, images, and other information, in a timely manner. Delays in providing necessary materials may result in project delays that are outside of our control.

6. Governing Law

These Terms shall be governed by and defined following the laws of India. Codrix and yourself irrevocably consent that the courts of India shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
